Provider: Sovereign Software, LLC (Sovereign). Website: https://ownmybooks.com. Support: support@ownmybooks.com.

This Agreement takes effect when Customer's authorized representative affirmatively accepts it, or on a later date expressly specified in the applicable Order. Viewing these terms alone does not establish acceptance.

1. Agreement, authority and definitions

This Agreement governs the installed Sovereign Accounting Sync software (Software), its Sovereign-operated integration services (Hosted Services), and associated user documentation (Documentation), together the Service. Customer means the business identified in the acceptance record or order form.

For an enrollment through a partner portal, the applicable Order separately identifies the participating partner and the Customer whose subscription it covers; Sovereign bills that Customer directly under Section 5A. Identifying a partner does not by itself authorize that partner to access Customer's records or create an obligation to buy the partner's separate services. Authorized Users are individuals Customer permits to use the Service. Customer Data means information Customer supplies or authorizes the Service to access. Accounting Provider means a company that provides an accounting system that Customer selects and connects to the Service, whether the connection runs through the Hosted Services or only through the Software on Customer's computer. An Accounting Provider may be a third party or Sovereign. The Documentation or the Software identifies the Accounting Providers the Service currently supports.

An Order is an accepted order form or checkout record specifying the plan and commercial terms.

By affirmatively accepting this Agreement, you represent that you are authorized to bind the identified Customer and authorize access to the selected companies' records. A privacy-notice acknowledgment records that notice was presented; it is not blanket consent to optional processing or marketing.

The Service is offered only to United States businesses. Individuals accepting this Agreement or using the Service must be at least 18 years old. Authorized accountants, bookkeepers and managed service providers may enroll and assist multiple separately authorized client businesses under an applicable channel Order or partner agreement. Each connected client business must be identified and separately authorize access to its records; one client's authorization does not authorize another client's records. The Order identifies the subscription customer, any participating partner, client-company coverage, billing responsibility and any usage limits. Channel partners may not expand Sovereign's warranties or make commitments on its behalf without written authorization.

For a partner-assisted enrollment, Sovereign bills the Customer directly for the subscription under Section 5A and pays the participating partner a commission under a separate partner agreement. The identified Customer accepts the terms governing its use and data through an authorized representative. A partner relationship, a partner portal enrollment or a commission arrangement does not itself establish authority to access any client's records.

2. Service and license

Subject to this Agreement and the applicable Order, Sovereign grants Customer a nonexclusive right during the authorized term to install and use the Software, make reasonable backup copies, and access Hosted Services for its authorized business workflows. Authorized Users and professional advisors may act within Customer's authority. Customer may not resell the Service, and may not provide unauthorized third-party access; an authorized channel partner may enroll and support client businesses under the applicable channel Order or partner agreement. Open-source components remain subject to their applicable licenses. Sovereign and its licensors retain their intellectual property; Customer retains its rights in Customer Data.

The current launch edition is a Windows desktop Payroll app that the customer installs and manages. Its accounting connection (Sovereign Accounting Sync) runs through a small hosted service operated by Sovereign. That service holds Customer's Accounting Provider credentials and an operational record of the entries it writes (see Section 7), while payroll records stay in the encrypted company file on Customer's computer. Its beta workflows import employee and company information and chart-of-accounts lists from Customer's accounting system. After separate review and approval, they post payroll-related journal entries and can create missing payroll accounts in the chart of accounts in Customer's accounting system. These functions support Customer's payroll bookkeeping; Customer remains responsible for reviewing the records and approving accounting writes under Section 3. The Documentation and applicable Order identify the available edition and included usage. No uptime service-level agreement or service credits are offered for the beta release.

A hosted edition with a console for channel partners to manage multiple client tenants is planned. It is not included in the current desktop release, and this Agreement does not promise a delivery date or represent that the console is available. Any future hosted edition requires an applicable Order and updated data-processing disclosures before use.

The accounting connection does not provide payroll-history or year-to-date payroll import, payroll processing, tax filing or remittance, banking, payment execution, or an accounting system subscription. A Sovereign Payroll license is included only if expressly identified in the applicable Order; the accounting connection alone does not grant another product license. Availability depends on the selected deployment and supported third-party APIs. Customer connections to live accounting data await approval from the Accounting Provider.

3. Accounting connection authorization and human approval

Review the selected company and permissions in the Accounting Provider's authorization process, where it has one. The permissions Customer grants for the accounting connection can technically allow reads and writes broader than any individual function enabled in Sovereign. Customer instructs Sovereign to access, use and modify data in Customer's accounting system only as reasonably necessary for the functions Customer enables, connection maintenance, requested support, service security and applicable legal obligations. This is not permission for unrelated reuse of accounting records.

Connection authorization and acceptance of this Agreement are not instructions to create accounts or post transactions. Those operations require the separate review and approval controls in the application. Review company selection, employee matches, mappings, account-creation plans, journal dates and amounts before approval. Verify completed transfers for errors, omissions and duplicates before relying on them. Expanded operations require appropriate notice and authorization. Data returned by the Accounting Provider can include records predating the connection and fields not displayed in the application; permissions are not limited to the visible fields.

Customer obtains all notices, permissions and legal authority required for records concerning employees, clients, vendors and other people. An administrator's acceptance does not replace those duties. Customer safeguards its devices and credentials, removes unnecessary access, maintains independent business records and backups, and reports suspected unauthorized use to support@ownmybooks.com. Do not send passwords or tokens to support. These duties do not excuse Sovereign's express obligations.

4. Acceptable use and third parties

Do not bypass access controls, introduce malware, interfere with the Service, access another business's information without authority, or use the Service unlawfully. Reverse-engineering restrictions apply only as permitted by law. Testing Sovereign-operated systems requires prior written authorization. Each party will comply with applicable export controls and sanctions laws.

A third-party Accounting Provider operates its accounting system under its own terms and privacy notices. Customer maintains required third-party subscriptions and permissions. API changes, rate limits, outages and account restrictions can interrupt workflows. A successful connection does not prove a transfer is complete or accurate. Third-party product names and marks belong to their respective owners. This Agreement does not imply a third-party Accounting Provider's endorsement, certification or sponsorship of Sovereign.

5. Orders, charges and support

These commercial terms govern subscriptions offered under an accepted Order. Subscription checkout and account-portal billing are not yet available. Stripe is the selected subscription billing provider.

The Service is a paid, month-to-month subscription with a 14-day trial and a 30-day money-back guarantee. At enrollment, the Order must disclose the price, currency, included usage, trial end, first charge date and monthly renewal schedule. Unless Customer cancels through its account management portal before the disclosed trial end, the trial automatically converts to a paid subscription and the disclosed subscription price is charged to Customer's authorized payment method. Customer must affirmatively authorize this automatic conversion and recurring billing at enrollment. The paid subscription renews monthly until canceled. Viewing these terms alone does not authorize a charge.

The 14-day trial and the 30-day money-back guarantee both start at the trial-activation timestamp recorded in Customer's account. The guarantee expires 30 calendar days after activation; it does not restart at paid conversion or renewal. A refund requested within that period covers subscription fees paid for the affected subscription during that period.

Customer may request the refund at support@ownmybooks.com and must cancel through its account management portal to prevent future renewals. This applies equally to a subscription Customer enrolled through a partner portal; Section 5A states how partner enrollment works.

Except where applicable law requires otherwise, subscription fees are nonrefundable outside that guarantee, including unused portions of a billing period. The portal must display the activation time, trial end and guarantee expiry.

Customer cancels through its account management portal, including where Customer enrolled through a partner portal (Section 5A). Cancellation submitted before the next renewal prevents the next monthly charge and carries no cancellation fee. Ordinary cancellation takes effect at the end of the current paid billing period, subject to the money-back guarantee and other applicable termination or refund rights. The portal must display the applicable renewal date and time and confirm the effective cancellation date. No prorated refund is available outside the guarantee, except as required by applicable law.

Sovereign will notify Customer of a subscription price change through Customer's selected contact method at least 30 days before the change takes effect. A changed price applies prospectively at a renewal following that notice period. Payments, failed-payment notices and eligible retries are administered through Stripe account-management services as configured for the subscription.

If a payment fails, Customer must remedy it by the next scheduled monthly renewal. If it remains unresolved at that renewal, the subscription license is revoked; a payment processor's retry schedule does not extend that deadline.

Once overdue amounts are paid and the payment problem is corrected, the account becomes eligible for reinstatement. Reinstatement does not restore a purged accounting connection; fresh authorization may be needed. Applicable sales, use and similar transaction taxes will be charged as required by applicable state and local law.

Orders control the plan, quantities, price and term expressly identified in them. An Order changes another provision of this Agreement only by identifying the provision and the agreed change.

Support is initially available by email only at support@ownmybooks.com, Monday through Friday, 8:00 a.m. to 5:00 p.m. U.S. Central Time, with an initial response within one business day. A business day means Monday through Friday. Messages received outside support hours are treated as received at the next opening of support hours. Central Time observes its applicable daylight-saving changes. The response commitment is not a promise to resolve an issue within one business day. The beta release includes no uptime SLA and no service-credit offering.

5A. Partner billing and client responsibilities

Purchase and payment. Sovereign bills Customer directly for the subscription, including when Customer enrolls through a partner portal with an authorized accountant, bookkeeper or managed service provider (Partner). A partner portal is a checkout interface for the Sovereign subscription; Partner does not invoice, collect or hold Customer's subscription payment, and Customer is not charged twice for the same subscription. Sovereign pays commissions to participating partners under separate partner agreements. Customer's subscription price is the price disclosed to Customer at enrollment under Section 5.

Separate client subscriptions. Each subscription has its own identified business, trial-activation timestamp, trial end, renewal date, cancellation status and refund-guarantee expiry. Enrolling an additional business does not restart or extend another business's trial or refund window. Unless a separately accepted Order expressly states otherwise, the same 14-day automatically converting trial, monthly term, no cancellation fee and 30-day guarantee from trial activation apply to each subscription enrolled through a partner portal. Sovereign discloses the applicable price and the conversion and renewal terms to Customer at enrollment, and Customer affirmatively authorizes the charge, as Section 5 requires.

Cancellation. Customer manages subscription cancellation in its account management portal, including where Customer enrolled through a partner portal. Canceling one business's subscription cancels only that subscription; it does not cancel another business's subscription enrolled through the same partner. Customer should complete needed backup/export before its subscription ends. A cancellation request made to Partner is not itself a completed cancellation of the Sovereign subscription.

Refunds. Customer requests an eligible subscription refund directly from Sovereign at support@ownmybooks.com, and Sovereign refunds the eligible Sovereign subscription charge to Customer under the Section 5 guarantee. Partner may separately charge Customer for bookkeeping, onboarding, advisory and other managed services under separately disclosed terms. Those fees are Partner's own, are not part of the Sovereign subscription charge, and are not covered by Sovereign's subscription guarantee; they require their own clearly disclosed refund terms. No voluntary subscription refunds are available outside the guarantee; applicable nonwaivable rights remain unaffected.

Billing and support. Sovereign handles questions and disputes about its own subscription charges to Customer. Partner handles questions and disputes about its separately disclosed service fees. Sovereign provides software email support on the schedule stated in Section 5; Partner is responsible for support relating to its own bookkeeping, advisory and managed services. This allocation does not create an uptime SLA or service credits.

Client authority. Each business must separately accept this Agreement and separately authorize its accounting connection, directly or through a representative with authority to act for that business. A partner relationship, a partner portal enrollment or a commission arrangement does not substitute for agreement acceptance, company-scoped authorization or separate human review and approval of accounting writes, and does not by itself give Partner access to another business's records.

Choosing and changing a partner. Customer chooses the partner that supports its subscription and may change or stop using a partner. Ending a partner relationship does not by itself transfer Customer or its data to another partner: Sovereign will not appoint a replacement partner, grant a partner access to Customer's records, or change who is billed, without Customer's authorization, and any replacement partner's own commercial terms require Customer's acceptance. Where Sovereign offers partner options and no local partner is available, the options may include remote partners, including AnyWay Tech, the owner's MSP; that ownership relationship is disclosed wherever AnyWay Tech is offered, and AnyWay Tech is not assigned automatically and receives no client records or credentials merely by being listed. Partner does not owe Sovereign Customer's subscription fees. Services Customer buys from Partner are governed by Partner's own terms and may be affected when that relationship ends; this Agreement governs only the Sovereign subscription.

6. Data, confidentiality and security

Customer grants Sovereign the limited right to process Customer Data to provide the authorized Service and fulfill its contractual and legal duties. The Privacy Policy describes Sovereign's handling of personal information. The applicable Data Processing Addendum (DPA), when incorporated into the Agreement, governs personal data processed on Customer's behalf and takes precedence for that processing. Contact privacy@ownmybooks.com for a DPA applicable to your service. A privacy notice does not replace the DPA or authorize unrelated data use.

Each party will protect the other's nonpublic business information with reasonable care, use it only to perform this Agreement or exercise its rights, and limit access to personnel and providers who need it and are bound by appropriate confidentiality duties. Exceptions apply to information lawfully public, previously lawfully known, independently developed, or lawfully obtained without confidentiality restrictions. Legally compelled disclosure is limited to the requirement, with advance notice where legally permitted.

Sovereign will maintain reasonable administrative, technical and organizational safeguards appropriate to the processing risk. The Security Overview describes current controls and their limits; it is not a certification or promise that all deployments have identical architecture. Sovereign will bind subprocessors to appropriate obligations and remain responsible for their performance of delegated processing, as provided in the DPA.

Customer's payroll records stay in the encrypted company file on Customer's computer; Sovereign cannot open that file. Provider credentials are different. The connector keeps them encrypted, and Sovereign's service can decrypt them because it has to use them to keep the connection working while the desktop app is closed. Local-file protection does not prevent authorized connector processing of readable accounting data. The connector processes Customer-approved accounting information to communicate with the Accounting Provider.

The hosted connector separately protects each connection's stored credentials, ends desktop access when a disconnect completes, and retires an earlier installation's access when the company reconnects. Sovereign's service can still decrypt connection credentials to maintain the authorized connection.

Approved journals, mappings, account-plan details and detailed operation history are stored in the desktop's encrypted company file. The connector handles readable accounting information and Accounting Provider responses while processing a request, and does not store the contents of those responses. What it retains is the Accounting Provider credentials and authorization material, connection, enrollment and access status, an operational record of each posting, and account-setup information. Those records hold identifiers, outcomes, times and a limited attempt history, and they stay linkable to a business or operation; they are not described as anonymous.

Automated versioned agreement-acceptance records are not currently collected by the connector. Billing, licensing, correspondence and website form records are separate from the accounting connection.

Sovereign hosts the connector with Railway for early adopters. The connector serves a test environment and a production environment. The production environment is used internally against Sovereign's own books; customer connections to live accounting data begin after the Accounting Provider approves the app.

Sovereign will notify the affected Customer without undue delay after becoming aware of a security incident involving unauthorized access to, acquisition, disclosure, alteration or destruction of Customer Data within Sovereign's responsibility. Notice will comply with applicable legal deadlines and any shorter applicable contractual deadline. Sovereign will provide the information then reasonably available about the incident, affected data, response and appropriate customer precautions, and will supplement it as the investigation develops; initial notice will not be deferred solely until the investigation is complete. Any legally required delay will be limited to the extent permitted by applicable law. Sovereign will take reasonable steps to contain, investigate and remediate the incident and cooperate with Customer on applicable notification obligations.

This incident process is separate from routine business-day support.

7. Term, suspension, termination and data return

The Agreement begins on the effective date stated above and continues for the authorized subscription term. Customer may opt out of the next monthly billing cycle by canceling before renewal under Section 5, without a cancellation fee. For this month-to-month subscription, no additional full 30-day advance-notice period is imposed on Customer cancellation.

Upon notice of a remediable breach of this Agreement, the responsible party will use best efforts to correct it as soon as reasonably practicable, taking account of its nature, severity and the work reasonably necessary to resolve it. No fixed resolution time is guaranteed. If a material breach remains unresolved after a reasonable opportunity to cure, the other party may terminate the affected Service by notice, subject to applicable law and the warranty remedy in Section 8. Sovereign may restrict access reasonably necessary to address unauthorized use, material security threats or unlawful activity, with notice where practicable and lawful, and restore access when the cause is resolved. Payment failures remain subject to Section 5. This flexible cure standard does not extend security-incident notification deadlines. This Agreement grants Sovereign no additional right to end an already-paid billing period merely for convenience. The refund rules in Section 5 apply, subject to rights and remedies that cannot lawfully be excluded.

When cancellation becomes effective or the subscription terminates, Customer's subscription rights to the Software and Hosted Services end. Any installed Sovereign Payroll use rights included under the canceled subscription also end; installation does not create a perpetual right to continue using Payroll after cancellation. No product backup, export or record-access entitlement continues after cancellation or termination becomes effective, except to the extent required by applicable law. Customer retains ownership of its data and any backups or exports it made while the subscription was active.

Signing out ends a local session. Disconnecting requests removal of provider authorization. Canceling a subscription, terminating this Agreement and requesting deletion are separate actions. Contact support@ownmybooks.com for connection/cancellation assistance and privacy@ownmybooks.com for deletion requests.

A failed revocation is reported as incomplete. Disconnection cannot reverse entries already accepted by Customer's accounting system or guarantee cancellation of requests already in progress. It does not erase local company files, exports, backups, journal/audit history or copies held independently by the Accounting Provider. Customer controls its local copies and must retain legally required records.

On a manual disconnect, the connector asks the Accounting Provider to revoke access, removes its copy of Customer's credentials and ends desktop access in the same request; an unresolved operation can defer completion, and scheduled cleanup removes the remaining connection information afterward. If the revocation does not succeed, the connector keeps retrying and still removes its own copy of the credentials, while the Accounting Provider may continue to show the authorization until Customer removes it there. An outage delays this work until the connection catches up. This describes what the connector does on disconnect; it does not change the planned deletion policy stated below or create a deletion deadline.

While the subscription is active, the desktop product will provide full backup and export capabilities for Customer's product data. Customer must complete and verify any needed backup or export before cancellation or termination becomes effective. No post-cancellation export window is offered; any nonwaivable statutory rights remain unaffected. The product Documentation specifies the available formats and scope.

Planned connection deletion. Our planned policy is to purge connection credentials and connection information within 24 hours after the effective end of the paid subscription period following cancellation, or an earlier manual desktop disconnect. Scheduling a future cancellation would not start that clock. This automated process is not fully deployed: subscription-end deletion is not implemented, an offline disconnect takes effect only when it reaches the connector, and unresolved operations and outages can delay cleanup. The 24-hour target is not a current deletion guarantee. It does not include local files, exports, records held independently by the Accounting Provider, the operational records described below, or separately retained acceptance, billing and support records.

Operational records. For each journal posting operation, the connector keeps an operational record to prevent duplicate payroll posting and to check and settle uncertain outcomes, including after reconnection or restoration of an older company file.

These records contain business and transaction identifiers, processing status, and limited activity history needed to prevent duplicate entries and resolve processing errors. They do not contain the entry's amounts, descriptions or document number, the accounts it posts to, employee details, or the accounting system's response beyond those identifiers. The detailed payroll records remain in the company file on Customer's computer. The identifiers they do contain stay linkable to a business or operation.

Scheduled cleanup. The hosted connector runs cleanup on a schedule, including after a restart. It reduces finished operational records after the default 90-day period, or during disconnect cleanup, and deletes the resulting identity records 13 months after the operation. Those identity records retain a protected fingerprint of the Accounting Provider's company identifier rather than the readable identifier. An unresolved operation retains its full record until its outcome is settled.

Older records may remain until the retention process has handled them, including readable company identifiers retained without a previous time-based limit. A deletion confirmation reports what was actually removed.

Resolved account-setup plans are removed 30 days after they are resolved; an authorization session expires after 10 minutes.

See Privacy and security updates for what the hosted connector does and the limits that still apply.

For additional detail about the information stored for a particular service, contact privacy@ownmybooks.com.

8. Warranties and professional responsibility

Sovereign warrants that the paid Service will materially conform to its Documentation during the subscription term. Customer will notify Sovereign of a material nonconformity with sufficient detail to investigate. Sovereign will use best efforts to correct or reperform the affected Service as soon as reasonably practicable, considering the nature and severity of the failure and the work reasonably necessary to remedy it; no fixed completion date is guaranteed. If a material failure remains unresolved after a reasonable opportunity to remedy it, Customer may terminate the affected Service and stop future renewal charges. Refunds are available only within the Section 5 guarantee or as required by applicable law; this warranty does not create a separate voluntary refund right outside that window. These provisions do not exclude nonwaivable remedies or otherwise recoverable damages under Section 9.

The Service is a technical tool, not accounting, tax, legal or investment advice, an audit, or an undertaking to meet Customer's statutory deadlines. Except for express warranties and nonexcludable rights, the Service is provided "as is" and "as available"; implied warranties of merchantability, fitness for a particular purpose and noninfringement are disclaimed to the extent permitted by law. Third-party failures do not excuse Sovereign's own express duties.

9. Liability, third-party claims and disputes

To the extent permitted by law, neither party is liable to the other for incidental, indirect, special, consequential, exemplary or punitive damages, including lost profits or business interruption to the extent they constitute those excluded categories, arising from this Agreement, whether in contract, tort or another legal theory, even if advised of their possibility. Reasonable, documented costs directly necessary to restore accounting records corrupted by a party's breach are not excluded merely because they involve data; they remain subject to the applicable cap below and proof of responsibility and loss.

Except as stated below, each party's total aggregate liability arising from this Agreement will not exceed the subscription fees paid or payable to Sovereign for the affected Service during the 12 months preceding the first event giving rise to the claim, with a minimum equal to one monthly subscription fee for the affected Service disclosed in the applicable Order. Related claims are aggregated; the limit does not reset for each claim. Subscription fees Customer pays or owes Sovereign count for this purpose whether or not Customer enrolled through a partner portal; a commission Sovereign pays a partner does not reduce that amount, and a partner's separately disclosed service fees are not part of it.

For a party's breach of its confidentiality or data-security obligations, or its defense and indemnity obligations below, the aggregate cap is twice that general cap. This higher cap includes, and does not stack on top of, the general cap. The exclusion of damage categories does not eliminate amounts payable to third parties under the express indemnities. Neither the caps nor the exclusions limit fraud, willful misconduct, gross negligence, liability that applicable law prohibits limiting, or Customer's obligation to pay properly due subscription fees. The no-refund policy does not exclude legally required remedies or damages recoverable under these provisions.

Sovereign will defend Customer against a third-party claim that the unmodified Service, used as authorized, infringes a U.S. patent, copyright or trademark or misappropriates a trade secret, and will pay damages and reasonable legal costs finally awarded, or a settlement Sovereign approves, subject to the applicable cap. This obligation does not cover a claim to the extent caused by Customer Data, unauthorized modifications, or a combination with items not supplied or required by Sovereign where the claim would not otherwise arise. Sovereign may obtain continued-use rights or modify or replace the affected functionality with materially equivalent noninfringing functionality. If those options are not commercially reasonable, Sovereign may terminate the affected functionality and associated future charges; refunds remain governed by Section 5 and applicable law.

Customer will defend Sovereign against a third-party claim to the extent caused by Customer's unlawful data or instructions, lack of required authority to provide data, or deliberate unauthorized misuse of the Service, and will pay damages and reasonable legal costs finally awarded, or a settlement Customer approves, subject to the applicable cap. This obligation does not require Customer to cover Sovereign's own negligence, breach of this Agreement or unlawful conduct.

The party seeking indemnity must promptly notify the other of the claim; delayed notice reduces the obligation only to the extent it materially prejudices the defense. The defending party controls the defense using competent counsel and pays reasonable requested cooperation costs. The protected party may participate with its own counsel at its expense. No settlement may admit fault by, impose a nonmonetary obligation on, or fail to release the protected party without its written consent, which will not be unreasonably withheld. Neither party may settle a covered claim at the other's expense without consent.

Arkansas law governs this Agreement, without applying conflict-of-laws rules that would select another jurisdiction's law. Subject to nonwaivable law, disputes arising from this Agreement must be brought exclusively in a state court of competent jurisdiction in Arkansas or, where federal subject-matter jurisdiction exists, a federal court in Arkansas, with venue otherwise determined under applicable procedural law. Each party submits to those courts' personal jurisdiction. The parties will attempt in good faith to resolve a dispute through their designated contacts, but that effort does not prevent timely filing or urgent relief. No mandatory arbitration or class-action waiver is included.

10. Changes, notices and general terms

Sovereign will provide notice of material contractual changes and present the revised version for renewed affirmative acceptance before further use of affected functions. Changes apply prospectively; prior acceptance does not authorize new uses of historical data. Customer may decline, stop affected use and exercise the applicable termination/export rights. Emergency security measures may take effect as needed without retroactively changing financial or data-use terms.

Formal contractual notices from Sovereign to Customer will be sent to the email contact maintained for the account and presented as a clear in-application popup on every affected account. These requirements do not replace a separately agreed method for ordinary price-change notices or routine support messages. Formal contractual notices to Sovereign must be directed to legal@ownmybooks.com or mailed to Sovereign Software, LLC, Attention: Legal Notices, PO Box 470, Wynne, AR 72396. Routine support remains at support@ownmybooks.com; privacy requests remain at privacy@ownmybooks.com; subscription cancellation is completed in the customer account management portal.

Neither party may assign this Agreement without the other's consent, except with a merger, reorganization or sale of substantially all relevant assets where the successor assumes its obligations and the assignment does not expand permitted processing. The parties are independent contractors. No third party is a beneficiary except as expressly required by applicable transfer clauses. Failure to enforce a provision is not waiver; unenforceable provisions are narrowed where lawful and the rest survives. Neither party is responsible for delay caused by events reasonably outside its control, subject to reasonable mitigation; this does not excuse accrued payment obligations or nonexcludable duties.

The DPA controls personal-data processing; an expressly negotiated amendment controls the provisions it identifies; otherwise the Order controls its commercial particulars and this Agreement controls remaining matters. This Agreement, the applicable Order and incorporated DPA are the entire agreement for the Service. Confidentiality, accrued obligations, ownership, liability/disputes and necessary data-return/deletion obligations survive termination by their nature. Electronic acceptance and records may evidence this Agreement.
